Terms of Sovereignty

1. Institutional Agreement

These Terms of Sovereignty constitute a legally binding contract between you (the "User," "Fellow," or "Enterprise") and ESERIA Systems Ltd. ("ESERIA," "we," or "us"). By accessing the ESERIA ecosystem—including eseria.org, institute.eseria.org, citadel.eseria.org, and uncaved.eseria.org—you agree to be bound by these strict operational and legal standards. If you do not possess the authority to bind your institution, or if you reject these terms, you must immediately disconnect from our infrastructure.

2. The ESERIA Credit (ƩC) Economy & Financial Policy

The Citadel Vanguard Academy and specific ESERIA services operate on a proprietary digital economy using ESERIA Credits (ƩC).

  • Parity & Purchasing: Credits are pegged to the US Dollar (100 ƩC = $1.00 USD) but may be purchased via authorized local fiat gateways (e.g., NGN) at the prevailing dynamic exchange rate.
  • Non-Refundability: In strict compliance with the Federal Competition and Consumer Protection Commission (FCCPC) guidelines regarding digital goods, all purchases of ESERIA Credits and Subscription Plans are final and non-refundable. Credits expended during simulations, AI interactions, or Journey switching are permanently consumed.
  • No Fiat Redemption: ESERIA Credits hold no external cash value and cannot be withdrawn, transferred outside the ecosystem, or redeemed for fiat currency.

3. Subscriptions & Billing

  • Auto-Renewal: Tactical Analyst, Sovereign Advisor, and 10xB Architect subscriptions auto-renew on their monthly, quarterly, or annual schedules.
  • Cancellations & Price Locks: You may cancel your subscription at any time; access will remain until the end of your current billing cycle. Users benefiting from "Day Zero" or specific launch pricing will forfeit their grandfathered rates immediately upon cancellation. Future re-entry will require payment at the standard market rate.

4. Intellectual Property Rights

  • ESERIA Ownership: ESERIA Systems Ltd. retains absolute and exclusive ownership of all underlying source code, the Lexon Framework, the 10xB Architecture Stack, UI/UX designs, and proprietary AI agent logic (CrewAI/LangGraph integrations).
  • User Ownership: You retain full ownership of the specific data you input into our systems and the verifiable "Proof of Work" assets you generate and host on the Uncaved registry.

5. Acceptable Use of AI & Infrastructure

Our systems are engineered for high-agency autonomy. Any abuse of this infrastructure will result in immediate termination. You are strictly prohibited from:

  • Reverse-engineering, decompiling, or attempting to extract the source code of our AI orchestration agents.
  • Utilizing our agentic AI to launch automated attacks, scrape external databases maliciously, or generate illicit material.
  • Farming ESERIA Credits through automated scripts, bot networks, or exploiting feedforward mechanisms.

6. Termination of Access

ESERIA reserves the right to suspend or permanently revoke access to the ecosystem without notice or refund if a user violates these Terms, degrades the structural integrity of the platform, or engages in fraudulent economic behavior.

7. Governing Law & Jurisdiction

This agreement is governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or relating to these Terms, the ESERIA ecosystem, or our financial engineering services shall be subject to the exclusive jurisdiction of the competent courts located in the Federal Capital Territory (FCT) or Lagos State, Nigeria.
